FleetSet — Terms of Service

These terms are an agreement between you and {{LEGAL_NAME}}, {{ENTITY_TYPE}}, of {{ADDRESS}} ("we", "us"). They cover your use of the FleetSet add-on for Google Sheets and the licence service behind it.
By installing or using FleetSet you accept them. If you are agreeing on behalf of a company, you are confirming you are allowed to.

1. What FleetSet is
FleetSet is a Google Sheets add-on that turns a trucking company's load, driver, truck, expense and adjustment records into weekly pay statements, owner-operator settlements, per-truck profit and loss, and a company balance — as tabs on your own spreadsheet and as PDFs you download.
It runs inside a Google Sheets file that belongs to you. Your records live in that file and nowhere else.
2. What FleetSet is not
FleetSet is a calculator, not an accountant. It is not accounting, tax, legal or payroll advice, and it does not make us your accountant, bookkeeper, payroll provider or tax preparer.
In particular:
- It does not file anything with anyone — not IFTA, not 1099s, not payroll taxes, not a tax return.
- It does not determine whether a driver is properly classified as an employee or an independent contractor. That is a legal question with real consequences, and the pay model you select in FleetSet is a description of an arrangement you have already made, not advice that you should make it.
- It does not check that what you pay a driver complies with your contract with them, or with federal or state law.
- It does not verify that the numbers you type in are correct.
You are responsible for the accuracy of what you enter and for what you do with what comes out. Check a statement before you pay somebody with it, and take professional advice on your own tax, accounting and employment obligations.
3. Your Google account and your data
FleetSet asks for three Google permissions, described in our Privacy Policy. The one that matters here is that it can only access the specific spreadsheet you open it in — not your Drive and not your other files.
Your data is yours. Everything FleetSet produces is written into your own spreadsheet, in ordinary rows and columns, in a file you own. If you stop paying us, cancel, or we go out of business tomorrow, that file is unaffected: every load, every settlement and every historical figure stays exactly where it is, readable and exportable, with or without FleetSet installed.
What stops working without a subscription is the add-on — the panel, the PDFs and the live report tabs. Not your records.
4. Subscription, trial and billing
FleetSet is sold as a monthly subscription in US dollars, priced by truck band. You choose your band when you subscribe.
- A 14-day free trial begins when you subscribe. A payment method is required to start it. You will not be charged during the trial.
- After the trial, your card is charged monthly in advance, automatically, until you cancel.
- Payments are processed by Stripe. We never see or hold your card details.
- Prices may change. We will give you at least 30 days' notice inside the add-on or by email before a change affects you, and you may cancel instead.
- Taxes, where applicable, are added at checkout.
5. Cancelling and refunds
You can cancel at any time from Billing inside the add-on, which opens Stripe's billing portal.
- Cancelling stops the next renewal. Your subscription continues to the end of the period you have already paid for, and FleetSet keeps working until then.
- Cancelling during the trial ends it at the end of the trial and you are not charged.
- We do not give partial refunds for an unused part of a month. If something has gone genuinely wrong, write to {{SUPPORT_EMAIL}} — we would rather sort it out than argue about a month's fee.
6. One workbook per subscription
A subscription licenses FleetSet in one Google Sheets file. The licence binds to that file when you first subscribe.
You can move it to a different file yourself, using the activation code we email you, roughly three times a year. That limit exists so the mechanism stays a recovery route rather than a way of sharing one subscription across several businesses. If you have a legitimate reason to move more often — you rebuild your workbook each January, say — write to us and we will sort it out.
Running several fleets in separate workbooks needs a subscription each.
7. Truck bands
Each band covers a maximum number of trucks. FleetSet counts the trucks in your own workbook, on your own machine, and compares that number against your plan. We never receive your truck count.
If your workbook goes over your band, FleetSet will tell you and the report tabs will stop calculating until you either move to a larger band or reduce the count. Your data is untouched throughout, and moving up a band takes effect immediately.
Only trucks marked Active or In Shop count. A truck you have sold is not a truck you run.
8. Acceptable use
Don't:
- resell, sublicense, rent or redistribute FleetSet, or offer it as part of a service to third parties, without a written agreement with us;
- reverse-engineer, decompile or attempt to extract the add-on's source or its licence keys, or use, share or create a licence you have not paid for;
- use FleetSet to break the law, or to produce records you know to be false;
- attack, overload or attempt to gain unauthorised access to our licence server.
We may suspend or end your subscription if you do any of these. Where the problem looks like a misunderstanding rather than an attack, we will ask first.
9. Availability
We try to keep the licence service running, and FleetSet is deliberately built so that our server going down does not stop your Friday statement run: your licence is cached locally and everything except a first-time purchase keeps working while we are unreachable.
That said, we do not promise any particular level of uptime, and we may change, suspend or discontinue parts of the add-on. If we discontinue FleetSet entirely, we will give you at least 60 days' notice and will not charge you again. Your spreadsheet and everything in it remains yours and keeps working as a spreadsheet.
Google may also change Google Sheets or the Workspace Marketplace in ways that affect the add-on, and that is outside our control.
10. No warranty
FleetSet is provided "as is" and "as available", without warranties of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that the add-on will be uninterrupted, error-free, or that its output will be free of mistakes. Check its figures before you rely on them.
Some jurisdictions do not allow the exclusion of certain warranties, in which case some of the above may not apply to you.
11. Limitation of liability
To the fullest extent the law allows:
- Neither party is liable to the other for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue or lost data, however caused.
- Our total liability to you for any claim arising out of these terms or your use of FleetSet is limited to the amount you actually paid us in the twelve months before the claim arose.
This limit does not apply to liability that cannot be limited by law.
We recognise this is a strong limitation for a tool that calculates payroll. It is why §2 says what it says: check a statement before you pay somebody with it.
12. Ending this agreement
You may stop using FleetSet and cancel at any time. We may end your subscription if you materially break these terms and do not fix it within 14 days of our telling you, or immediately if you use FleetSet illegally or attack our service.
When it ends, the add-on stops working. Your spreadsheet does not.
13. Changes to these terms
We may update these terms. If a change is material we will tell you inside the add-on or by email at least 30 days beforehand, and you may cancel rather than accept it. Continuing to use FleetSet after a change takes effect means you accept it.
14. Governing law
These terms are governed by the laws of the State of {{STATE}}, United States, without regard to its conflict-of-laws rules. Any dispute goes to the state or federal courts sitting in {{STATE}}, and both of us consent to that.
15. The rest
- These terms, with the Privacy Policy, are the whole agreement between us about FleetSet, and replace anything said earlier.
- If a court finds part of them unenforceable, the rest stands.
- If we do not enforce something immediately, we have not given it up.
- You may not transfer these terms to somebody else without our written consent. We may transfer them if the business is sold, on notice to you.
- Nothing here makes either of us the other's partner, employee or agent.
